Terms of Service

Please read these Terms of Service ("Terms") carefully before using Scanit2Cloud ("Service"), operated by Absolute IT ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
Scanit2Cloud is a cloud-based file transfer automation service that receives files uploaded via FTP/SFTP and automatically routes them to configured cloud storage destinations, including Microsoft SharePoint, Dropbox, and Google Drive. The Service is accessed at scanit2.cloud.
2. Eligibility and Accounts
You must be at least 18 years old and have authority to enter into these Terms on behalf of yourself or your organisation. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Ensuring that all users associated with your account comply with these Terms.
- Notifying us immediately at support@scanit2.cloud of any unauthorised use.
3. Subscriptions and Billing
The Service is offered on a subscription basis. By subscribing, you authorise us to charge your payment method on a recurring basis via our payment processor, Stripe.
- Billing cycle: Subscriptions are billed monthly in advance.
- Plan limits: Each plan tier includes a fixed number of seats (SFTP accounts). Exceeding your plan limit requires an upgrade.
- Cancellation: You may cancel at any time from your billing dashboard. Access continues until the end of the current billing period; no partial refunds are issued.
- Downgrades: If you downgrade to a lower-tier plan, seats beyond the new limit will be disabled (but not deleted) until you upgrade again.
- Price changes: We will provide at least 30 days' notice of any price changes before they take effect.
- Failed payments: If payment fails, the Service may be suspended after reasonable notice until payment is resolved.
4. Acceptable Use
You agree not to use the Service to:
- Upload, transmit, or store any content that is unlawful, harmful, abusive, defamatory, infringing, or otherwise objectionable.
- Violate any applicable laws or regulations, including privacy laws.
- Interfere with or disrupt the integrity, security, or performance of the Service.
- Attempt to gain unauthorised access to the Service or its infrastructure.
- Use the Service for any purpose other than legitimate business file transfer workflows.
- Resell or sublicence access to the Service without our written consent.
We reserve the right to suspend or terminate accounts that violate these conditions without prior notice.
5. Data Handling and Retention
Files uploaded through the Service are:
- Temporarily stored in an AWS S3 landing bucket (Sydney, ap-southeast-2) during processing.
- Transferred to your configured cloud destination (SharePoint, Dropbox, or Google Drive) as directed by your routing configuration.
- Moved to a separate archive bucket upon successful delivery for audit and fault-recovery purposes.
- Automatically purged from our infrastructure according to the retention policy applicable to your subscription tier.
You retain ownership of all files and data you upload. We do not access, analyse, or use your file content for any purpose other than delivering the Service.
6. Third-Party Integrations
The Service integrates with third-party platforms (Microsoft SharePoint, Dropbox, Google Drive) at your direction. Your use of these platforms is governed by their respective terms of service. We are not responsible for the availability, security, or actions of third-party services.
By connecting a third-party account, you authorise us to act on your behalf (using OAuth credentials you provide) solely for the purpose of delivering files to your configured destination.
7. Security
We implement industry-standard security measures including AES-256 encryption at rest, TLS 1.2+ encryption in transit, and least-privilege access controls. However, no system is perfectly secure. You are responsible for the security of credentials (usernames, passwords, SSH keys) used with your SFTP accounts and cloud integrations.
8. Intellectual Property
The Service, including its software, design, trademarks, and documentation, is owned by Absolute IT and protected by Australian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service solely as permitted by these Terms.
You retain all rights to content and data you upload. By using the Service, you grant us a limited licence to process that content solely for the purpose of providing the Service.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ABSOLUTE IT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Absolute IT and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.
12. Termination
Either party may terminate the agreement by cancelling the subscription. We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or if required by law. Upon termination, your access to the Service will cease and any data retained under our standard retention policy will be purged at the end of the applicable period.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Queensland, Australia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia. We encourage you to contact us first to resolve any dispute amicably before initiating legal proceedings.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, notify you via email or an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
